Why Optomise?

Many taxpayers are reluctant to enter into Section 12J transactions as they are uncertain how the South African Revenue Service (SARS) will view, and ultimately tax, the income derived from these transactions. Optomise has obtained unique private binding rulings relating to S12J investment compliance. These rulings have provided us with clarity, consistency and certainty about the interpretation and application of the relevant tax laws.

Our fund is licensed by the Financial Sector Conduct Authority (FSCA) and we utilise an FSB-approved compliance officer.

What differentiates Optomise from other traditional funds is that we have reversed the venture capital funding model. Prior to raising capital, Optomise identifies qualifying S12J projects and then go to the market to raise the funding. This results in an immediate deployment of capital into projects and thus eliminates “lazy money” sitting in the fund.

Gadi Cohen

Managing Director

Gadi founded Optomise in 2015, with the aim of building a unique investment platform focused solely on compliance. He identified the need for a dynamic S12J fund that could offer individual investors the opportunity to invest in new projects and businesses while being able to benefit from the S12J tax incentive. Having developed unique intellectual property, and armed with binding private rulings directly from the South African Revenue Service (SARS), Gadi has facilitated more than 20 venture capital transactions and raised over R280 million in equity finance.

A business development expert, Gadi is part of Optomise’s investment, strategic and product development committees.

Gadi completed his Bachelor of Business Science (Hons) in finance at UCT in 2010 and went on to complete his Post Graduate Diploma in Accounting (PGDA) with honours in accounting in 2011 at UCT. He qualified as a chartered accountant (CA)SA in 2014.

Mark Collie

Director

A financial services specialist, Mark co- founded Optomise with Gadi and Michael in 2015. He has experience in starting and building businesses and is part of Optomise’s investment, strategic and product development committees.

Mark is the co-founder and executive director of Airvantage, a fintech provider of mobile financial and value-added services for mobile network operators. In 2009, he founded Icon South Africa in partnership with Icon UK. Under his leadership, the company was appointed by FIFA to design, produce and install the signage and branding for the FIFA Confederation Cup 2009 and the FIFA World Cup 2010.  He was previously the operations director of Wideopen Platform, the leader in large format outdoor advertising in South Africa which he sold to Primedia Limited in 2006. Prior to that Mark was involved in corporate finance and private equity with the Buffet Investment Group.

Mark completed his BCom at RAU (now University of Johannesburg) in 2002, specialising in finance.

Michael Roffey

Director

Michael is a co-founder of Optomise and brings an in-depth knowledge of ICT and innovation to Optomise’s S12J offering. He is part of the company’s investment, strategic and product development committees.

He pioneered cellular micro-lending and device financing in South Africa and has been involved in the telecommunications industry for more than 10 years. His products and services are today available in over 15 countries across three continents. Together with partners, he founded the largest independent cellular retail credit business and handset finance business in South Africa. These businesses were sold to a JSE-listed company in 2013 and 2017 respectively.

He has private equity interests in many sectors, including property, technology and financial services.

Michael completed his BCom Accounting degree at Wits University in 2001. He qualified as a chartered accountant CA(SA) in 2004.

Namir Waisberg

Director

Namir is the founder and CEO of Willis Burton Capital Partners, an Investments and Advisory business that specialises in Domestic & Offshore Alternative Investments. Willis Burton Capital Partners focuses on M&A, Private Equity, Commercial Property / Real Estate Investments & Venture Capital as well as Mezzanine Finance, Debt Capital Markets & Family Office Direct Equity. In 2014 Namir co-founded Sail Group, a global Chrome & PGM (Platinum Group Metals) Mining Resource owner & Commodity Trader headquartered in Singapore with global assets listed on both the South African JSE & the Stock Exchange of Mauritius SEM. In 2009 Namir co-founded StorageWorx (formerly Storage Genie) a self-storage business with over 2,500 storage units located across fifteen P-Grade locations throughout South Africa. StorageWorx was sold to a JSE listed REIT. Prior to this Namir was an Investment Banker with Investec Bank. Namir currently holds equity interests in the Financial Services, Commercial Property, Executive Search and Fintech sectors.
